Overview:

A vacancy has recently arisen for the position of Company Secretary within our Corporate Services department at Assistant Vice President (AVP) level.

Deutsche Bank (DB) through its Irish subsidiary, Deutsche International Corporate Services, is a market leader in Ireland in the provision of administration and support services to special purpose vehicles ( SPVs ) established by international banks and fund managers to facilitate cross border transactions.

The Corporate Services Division (CSD) provides a range of services including accounting, company secretarial and directors to SPVs which are engaged in various types of financing transactions including asset finance and leasing, multi issuance debt programmes and structured finance transactions.  Major clients include the Deutsche Bank group itself as well as many international investment banks and fund managers. The business in Ireland forms part of a global CSD business which has offices in the US, the UK,Germany, the Channel Islands, Luxembourg, the Netherlands and Cayman.

Key Responsibilities: 

  • Member of company secretarial team who provide secretarial support services to Irish regulated funds and SPVs (both domiciled in Ireland and UK)
  • Ensuring Company law compliance by the timely filing of returns and other statutory documents throughout the life of a company from incorporation to liquidation
  • Co-ordinate holding of board meetings and AGMs / EGMs
  • Liaising with external directors and shareholders
  • Preparing documentation, attending board meetings and taking minutes
  • Liaising with accountants, auditors, liquidators, receivers, legal advisers and stock exchanges
  • Supporting the accounting team with providing co-sec information, ensuring that financial statements are signed off and filed on time
  • Keeping regulatory files and distributing any correspondence from regulatory authorities such as the Central Bank of Ireland and IAASA
  • Filing annual information updates for respective issuers with the Central Bank of Ireland;
  • Assisting the Client Services Team as required

Skills & Qualifications:

  • Qualified company secretary
  • Good communication (verbal and written)
  • Strong multi-tasking skills
  • The ability to adapt to changing priorities and varied decision-making scenarios
  • An ability and desire to work to tight deadlines
  • Good interpersonal skills to develop working relationships with colleagues, clients, other divisions/ offices of the bank and professional intermediaries
  • Flexibility
